These Terms of Service ('Terms') constitute a legally binding agreement between you and 17119984 Canada Inc. ('SceneWise', 'we', 'us', 'our'), a corporation incorporated under the Canada Business Corporations Act (Corporation No. 17119984, BN: 787040237), governing your use of the SceneWise mobile application and website (scenewise.app).
BY CREATING AN ACCOUNT OR USING SCENEWISE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE SCENEWISE.2. Eligibility
You must be at least 18 years old to use SceneWise. By using SceneWise, you represent and warrant that:
• You are at least 18 years of age
• You are the parent or legal guardian of any children whose information you enter into the app
• You have the legal authority to agree to these Terms
• Your use of SceneWise will not violate any applicable law or regulation
SceneWise reserves the right to terminate any account upon discovery that the account holder does not meet these eligibility requirements.3. The SceneWise Service
3.1 What SceneWise Provides
SceneWise is a content guidance tool that uses artificial intelligence to generate analysis reports about movies, TV shows, and other media content. These reports are designed to help parents and guardians make informed decisions about content for their children.3.2 Critical Limitation — Read This
SCENEWISE PROVIDES GUIDANCE ONLY. ALL CONTENT ANALYSIS IS GENERATED BY ARTIFICIAL INTELLIGENCE AND MAY CONTAIN ERRORS, OMISSIONS, OR OUTDATED INFORMATION. SCENEWISE DOES NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY ANALYSIS.Specifically, you acknowledge and agree that:
• AI-generated analysis is based on training data and publicly available information, which may be incomplete or outdated
• Content in movies and TV shows may differ between releases, editions, regional cuts, or streaming versions
• What is appropriate for one child may not be appropriate for another child of the same age
• SceneWise analysis is a starting point for parental decision-making — not a substitute for it
• THE FINAL DECISION ABOUT WHAT YOUR CHILD WATCHES OR PLAYS IS ALWAYS AND SOLELY YOURS3.3 No Professional Advice
Nothing in SceneWise constitutes professional child psychology, pediatric, educational, or any other form of professional advice. SceneWise is not affiliated with any child safety organization, rating board (including the MPAA, ESRB, or TV Parental Guidelines), or government agency.4. Accounts
You are responsible for maintaining the security of your account credentials. You agree to:
• Use a strong, unique password for your SceneWise account
• Not share your account credentials with any other person
• Notify us immediately at [email protected] if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that are compromised, used fraudulently, or that violate these Terms.5. Subscriptions, Billing & Payments
5.1 Subscription Tiers
SceneWise offers the following service tiers:
• Free Tier: 3 content searches per calendar month. No payment required.
• Monthly Subscription: Unlimited searches and full features, billed monthly at the then-current rate.
• Annual Subscription: Unlimited searches and full features, billed once per year at the then-current rate.
Current pricing is displayed in the app and at scenewise.app. All prices are in US dollars unless otherwise stated.5.2 Auto-Renewal — Important
SUBSCRIPTIONS AUTO-RENEW AUTOMATICALLY. YOUR PAYMENT METHOD WILL BE CHARGED AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL BEFORE THE RENEWAL DATE.For subscriptions purchased through the App Store or Google Play, renewal terms are governed by Apple's and Google's subscription policies respectively. You may manage and cancel subscriptions through your device's subscription management settings.5.3 Price Changes
We may change subscription prices. For existing subscribers, we will provide at least 30 days' notice of any price increase before the change takes effect. Your continued subscription after the notice period constitutes acceptance of the new price.5.4 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain full access to paid features until that date. Cancellation does not entitle you to a refund for the current billing period unless a refund is specifically provided under Section 5.5.

Direct subscriptions (purchased through our website or Stripe):
• Annual subscriptions: 7-day refund window from the date of initial purchase. Contact [email protected] within 7 days for a full refund.
• Monthly subscriptions: No refund once the billing period has commenced.
• Refunds for technical failures preventing access: evaluated case by case. Contact [email protected].App Store purchases (iOS):
Apple controls all refunds for App Store purchases. We have no ability to issue refunds for App Store transactions. Refund requests must be submitted directly to Apple at reportaproblem.apple.com. Per Apple's developer agreement, Apple retains its commission on refunded purchases.Google Play purchases (Android):
Google controls refunds for purchases made through Google Play. Refund requests must be submitted through the Google Play app or play.google.com/store/account.5.6 Failed Payments
If a payment fails, we will retry the charge and notify you by email. You have a grace period to update your payment method before your account is downgraded to the free tier.6. Acceptable Use
You agree to use SceneWise only for its intended purpose. You agree NOT to:
• Share your account with others or allow others to use your subscription
• Use automated tools, scripts, or bots to access the app or its content
• Attempt to reverse-engineer, copy, or reproduce SceneWise's content analysis system or algorithms
• Use SceneWise for any commercial purpose without our written consent
• Attempt to gain unauthorized access to other users' accounts or our systems
• Submit fraudulent, false, or misleading information
• Use SceneWise in any way that violates applicable law
Violation of these terms may result in immediate account termination without refund.7. Intellectual Property
SceneWise, including all software, design, content analysis methodology, brand elements, and the SceneWise name and logo, is owned by 17119984 Canada Inc. and protected by Canadian and international intellectual property law.
Content information (movie titles, descriptions, posters, streaming availability) is sourced from The Movie Database (TMDB) under their terms of use. This content remains the property of its respective owners.
You are granted a limited, non-exclusive, non-transferable, revocable license to use SceneWise for personal, non-commercial use only. This license does not include the right to copy, modify, distribute, or create derivative works.8. Disclaimers of Warranty
SCENEWISE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.We do not warrant that:
• SceneWise will be available uninterrupted or error-free
• Content analysis results will be accurate, complete, or current
• The app will meet your specific requirements
• Defects will be corrected9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 17119984 CANADA INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF SCENEWISE, INCLUDING BUT NOT LIMITED TO: DAMAGES ARISING FROM RELIANCE ON CONTENT ANALYSIS RESULTS, DECISIONS MADE BASED ON APP RECOMMENDATIONS, OR ANY HARM TO A CHILD ARISING FROM CONTENT VIEWED AFTER CONSULTING SCENEWISE.Our total aggregate liability to you for all claims arising from your use of SceneWise shall not exceed the greater of: (a) the total amount you paid SceneWise in the 12 months preceding the claim, or (b) USD $50.00.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.10. Indemnification
You agree to defend, indemnify, and hold harmless 17119984 Canada Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
• Your use of SceneWise
• Your violation of these Terms
• Your violation of any third party's rights
• Any content decisions you make based on SceneWise analysis11. Third-Party Services and Links
SceneWise displays information about streaming services and may link to third-party platforms. We are not responsible for the content, privacy practices, or terms of any third-party service. Links to streaming platforms are for your convenience only and do not constitute endorsement.12. Termination
We may suspend or terminate your account at any time for violation of these Terms, with or without notice. You may terminate your account at any time by contacting [email protected]. Upon termination:
• Your access to paid features will end immediately
• Your personal information will be deleted in accordance with our Privacy Policy
• Sections 7 (IP), 8 (Disclaimers), 9 (Liability), 10 (Indemnification), and 13 (Governing Law) survive termination13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.
For users in the United States: To the extent that US federal law (including COPPA and FTC regulations) applies to our service, we comply with those requirements. However, the governing law for these Terms remains Ontario law.
Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Toronto, Ontario under the Arbitration Act (Ontario), except that either party may seek injunctive or other equitable relief from a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Nothing in this section prevents you from making a complaint to a consumer protection or privacy regulatory authority.14. Changes to These Terms
We may update these Terms. For material changes, we will notify you by email at least 30 days before the change takes effect. For non-material changes, we will update the Effective Date. Your continued use after changes take effect constitutes acceptance.15. Contact
